2. Specification of the Services

2.1. Description of the Services:

This course is designed for ICF credentialed coaches, who:

• Seek to become mentor coaches and offer mentor coaching for their peer, who want to apply for or renew an ICF credential or who want to get feedback in order to improve the quality of their coaching practice

• Want to pursuit or renew an ICF credential and therefore want to engage in a thorough practical developmental process with a group of coaches.

The course is made up of:

• 28 on-line contact learning hours 

• 8 hours of practice with peers

• 32 CCEUs in core competencies and 4 CCEUs in resource development

Learning outcomes

• understand the role of the mentor coach

• learn, practice and develop the mentoring skills and competencies

• gain a more thorough understanding of the ICF coach competencies at ACC, PCC and MCC levels

• gain a more thorough understanding of the ICF PCC-markers

• engage in peer mentoring and coaching practice, insightful discussions, 

• reflect and gain feedback on own coaching and mentoring practice

• observe various peer coaching and mentoring demonstrations and provide efficient and empowering evidence-based development feedback

• participate in ongoing peer practice

• experience coaching and mentoring from different peers

• become a much better and more confident professional coach

• be well-prepared to pass successfully an ICF credentialing assessment 

• become a skilful mentor coach

• gain your group mentor coaching hours for ICF credentialing or for the renewal of your existing credential

GENERAL PART

I. SUBJECT MATTER OF THE CONTRACT

1. The subject matter of this Service Contract, which consists of the Special Part and the General Part (hereinafter referred to as the “Contract”) is the Services described in the Special Part of the Contract provided by the Service Provider (hereinafter referred to as the “Services”). The content of the Services, the time limits, the direct recipients of the Services provided – the participants (hereinafter referred to as the “Participants”), their number and other relevant information has been specified in the Special Part of the Contract.

II. OBLIGATIONS AND RIGHTS OF THE PARTIES, REPRESENTATIONS AND WARRANTIES BY THE PARTIES

2. The Service Provider:

2.1. undertakes to provide Services of good quality in accordance with the requirements applicable to the Services;

2.2. undertakes to provide the Participants with the necessary handouts and other necessary means;

2.3. The Service Provider has the right to invoke third parties for the implementation of the Contract, to freely choose the ways, means and methods for the performance of the Contract.

3. The Client undertakes:

3.1. to pay the Service Provider for the Services in accordance with the procedure and within the time limits laid down in the Special Part of the Contract, to ensure participation of the Participants specified in the Special Part of the Contract in the training sessions. The refusal by the Client and/or by all or part of the Participant to accept the Services specified in the Special Section of the Contract provided by the Service Provider shall not affect the Client’s duty set forth in this Clause, except if the Services agreed between the Parties are provided as personal sessions, and the Client and/or the Participant give the Service Provider at least one-month notice about the cancellation of such sessions, unless otherwise agreed by the Parties on a this particular case;

3.2. to provide the Service Provider with all necessary documents and information necessary for the proper provision of the Services;

3.3. to ensure that the Participants will actively test in practice the information and/or the material provided by and discussed with the Service Provider, and will immediately inform the Service Provider if any problems arise in the course of the application in practice of the material and information discussed, and the desired result is not achieved, in order to enable the Service Provider to adjust the training process accordingly (if the Service Provider considers this necessary);

3.4. to familiarise the Participants with the conditions of this Contract (including annexes) related to the Participants’ participation in the educational process and the obligations regarding the storage and confidentiality of the information received during the provision of the Services. However, the Client has the right not to disclose the Service price to the Participant;

3.5. to behave according to the Permission and Commitment Form and provides permissions accordingly 

4. The Client has the right:

4.1. to request the Service Provider to provide the Client with the required information on the provision of the Services orally or in writing, but such information requested by the Client shall not include the information that the Service Provider has learned during the conversations with the Participants (including, but not limited to, the future plans of the Participant, business plans, personal information, etc.), and the Client is not entitled to request such information from the Service Provider;

4.2. to change the Participants indicated in the Special Part of the Contract, giving the Service Provider at least three (3) days’ notice thereof. In any event, the Client understands that in such case the Service Provider cannot guarantee the full provision of the Services and the achievement of the discussed result, if the Participant is replaced after the commencement of the Contract.

5. The Client represents and warrants that:

5.1. the Client understands that the Service Provider has invested a lot of time and money for the preparation to the provision of the Services prior to signing the Contract, therefore, if the Service Provider is prevented from providing the Services (or their respective parts) for the reasons related to the Client or the Participant (including but not limited to cases in which the Participant(s) does/do not attend) or the Contract is terminated without the fault of the Service Provider, the Client undertakes to pay to the Service Provider the full price for the Services in accordance with the rates specified in the Special Part of the Contract;

5.2. the Client agrees that the Service Provider may indicate the Client as the Service Provider’s client in the Service Provider’s activity description and/or advertising;

5.3. prior to the conclusion of the Contract, the Service Provider has provided the Client with detailed information on the nature of the Services, the terms and conditions of their provision, the price of the Services, the time limits of the Services provision, possible consequences, and other information influencing the Client’s decision to conclude the Contract, and the Client has decided to conclude the Contract after having examined all the information provided by Service Provider;

5.4. the Client understands that the Service Provider conveys knowledge, directs the Participants towards the desired result, and the development result depends primarily on the personal characteristics of the Participants, the active, continuous and appropriate application of the learned subjects in everyday activities. Therefore, no guarantees are provided under this Contract (its annexes) as to the result/success of the final improvement.

6. At the Client’s request, after the prior arrangement with the Service Provider, the Service Provider can conduct training sessions for all or part of the Participants by telephone (teleconference) or the Internet. The cost of communication in this case shall be borne by the Client if not agreed otherwise.

III. CONTRACT PRICE AND PAYMENT PROCEDURE, REPORT ON PROVISION OF THE SERVICES

7. The Client shall pay the price specified in the Special Part of the Contract for the Services rendered by the Service Provider, according to the conditions and within the deadlines established therein. This amount does not include the accommodation costs, travel expenses, other expenses (if any) of the Service Provider separately specified by the Service Provider to the Client, which have not been included in the price of the Services. All these additional costs which are agreed with the Client shall be borne by the Client and he undertakes to pay them.

IV. LIABILITY OF THE PARTIES

8. The Parties undertake to comply adequately with their obligations under this Contract and to refrain from any actions that could cause damages to each other.

9. If one of the Parties fails to perform or improperly performs the obligations assumed by this Contract, or violates the Contract, it shall be obliged to compensate the damages incurred by the other Party because of the failure to perform or improper performance, or the Contract violation within 20 (twenty) days from the date of receipt of the written request of the party.

10. The parties expressly agree that regardless of the Contract provisions, the Service Provider’s liability under the Contract shall not exceed 50% of the amount received by the Service Provider from the Client for the Services directly related to the relevant violation (Part of the Services), for which the Client has submitted claims to the Service Provider according to the procedure specified in the Contract (i.e. according to the requirements specified in paragraph 21 of the Contract).

11. If the Client fails to pay the Service Provider in a timely manner, the Client undertakes to pay the Service Provider interest in the amount of 0.2 (two tenths) percent of the unpaid amount for each delayed day. In such a case, the Service Provider shall also have the right to suspend the provision of the Services (their part) and to demand payment for all the Services (their part) provided to date, and payment of the remaining part in advance.

12. If the Service Provider fails to provide the Services in question, the Service Provider shall pay the Client interest in the amount of 0.2 (two tenths) percent of the amount paid in advance for the Services by the Client to the Service Provider, but in all cases not exceeding the amount indicated in Clause 10 of the General Part of the Contract.

13. The Party violating the requirements of the Section V of the General Part of the Contract and having disclosed or used all or part of the information in its relations with a third party, insofar as this is not related to the performance of this Contract, shall pay the other party penalty of EUR 3,000 and compensate the other Party for the amount of such damages incurred, which in all cases, if paid by the Service Provider, shall not exceed the amount specified in Clause 10 of the General Part of the Contract. The penalty must be paid within 7 (seven) calendar days from the date of the written request.

14. Premature termination of this Contract shall, in the first instance, exempt both parties from the further performance of this Contract, but shall not relieve the Parties from the obligations assumed before the termination, does not exclude the right to demand payment of arrears, indemnification for damages arising from the non-performance, termination and default of this Contract.

15. The Parties are not liable for non-performance of contractual obligations in the circumstances that cannot be foreseen, prevented or remedied by any means (force majeure). In the event of force majeure, the obligations of the Parties shall be postponed for a period not exceeding 30 (thirty) calendar days.

V. CONFIDENTIAL INFORMATION, COPYRIGHT, PERSONAL DATA PROTECTION

16. For the duration of this Contract, and any time after the expiry of this Contract or its termination, the Parties shall strictly treat as confidential any information contained in this Contract or related to it, as well as any information disclosed both deliberately and incidentally during performance of this Contract.

17. Disclosure of the information provided for in this section, its communication to a third party or making it public is possible only with the written consent of the other party, except when the information is disclosed, communicated to a third party, or made public in the cases provided for in the legal acts of the Republic of Lithuania, and only according to the procedure and to the entities provided for in the legal acts of the Republic of Lithuania, unless the relevant information has already been made available to the public before it has been disclosed to third parties. In addition, this Contract grants the Service Provider the right to use for learning purposes, as well as for research purposes, information on situation solution methods, decision-making tools, etc. provided to the Service Provider by the Client and/or the Participant, but in all cases, information shall be depersonalised.

18. The Service Provider owns and will own the copyright and all other rights to the documents and information, including, but not limited to the documents and information provided to the Client or the Participant in writing (handouts, electronically supplied materials, etc.), orally, and visually (including the provision of information during coaching sessions). The Client or the Participant may make copies of documents submitted in writing for their internal or personal use, however, the Client and the Participant may not provide documents or copies thereof to any third parties without the written consent of the Service Provider.

19. The Service Provider as the data controller and its responsible employees shall process the Participant’s personal data (first name, surname, phone number, e-mail address, notes of a coaching session, data of the taken tests, and other information provided by the Participant) for the purpose of performing this Agreement and the Contract with the Client. The legal basis for processing of personal data is Article 6(1)(b) of the General Data Protection Regulation. For the purpose of processing the Participant’s personal data, the Service Provider may engage IT companies (data processors) which will render computer software support and hardware maintenance services to it, and testing companies (data processors) the psychological tests developed by which will be offered to the Participant. The Service Provider shall store the Participant’s personal data during the term of the Agreement and for 10 years afterwards, except where the Participant requests erasure of his/her personal data in the possession of the Service Provider, and such request is in line with the legislation. The Participant hereby acknowledges that he/she has been informed of the terms of processing of his/her personal data and the following rights of the Participant: i) to access his/her personal data and to verify the manner in which they are being processed as well as to have the incorrect or inaccurate personal data concerning him or her rectified; ii) to object or withdraw his/her consent to the processing of personal data relating to him or her any time without specifying reasons for the objection or withdrawal; iii) to have the inaccurate or incomplete personal data rectified or erased, or to suspend operations of data processing except for their storage where such requests are compatible with performance of the Agreement and the legislation; iv) any other rights of a data subject stipulated in the General Data Protection Regulation and other legislation. Those rights can be exercised free of charge by contacting the Coach or the Service Provider. The Coach and the Service Provider undertakes to process the Participant’s personal data in compliance with the requirements of the legislation, to ensure security of the processed data, and to implement technical and organisational protection measures appropriate to ensure protection of personal data against unauthorised or unlawful destruction, processing, or accidental change or disclosure. 

VI. INFORMATION AND CORRESPONDENCE

20. All notices relating to this Contract (including, but not limited to, invoices) will be written to each of the Parties in English and sent by post (to the addresses indicated in the Contract), by e-mail (to the addresses indicated in the Contract) or served against signature to the representative specified in this contract or the designated agent of the representative. If the notice is sent by e-mail, it is considered received by the Party on the same day, if it was sent by the party during the working hours, or on the next business day, if it was sent outside of working hours. If the notice is sent by post, it is considered received by the recipient 5 (five) calendar days from the date of dispatch.

21. If one of the Parties changes its requisite data, the other Party must be informed about it within 5 (five) calendar days from the date of the change. The Party that fails to provide notice of such change in details in due time may not claim that it has not received communications, if the other party sent notices to the last known address or using other last known details of that party.

VII. DISPUTE RESOLUTION, JURISDICTION, GOVERNING LAW

22. The Parties shall endeavour to resolve all disputes, disagreements, claims and controversies that may arise between the Parties regarding the application and interpretation of the Agreement through negotiation, mutual agreement and cooperation. If disagreements cannot be resolved through negotiations within 15 (fifteen) calendar days, all disputes, disagreements, claims and controversies arising from the application and interpretation of this Agreement shall be settled in accordance with the legal acts of the Republic of Lithuania in the Vilnius City District Court or the Vilnius Regional Court (depending on the amount of the claim).

23. The law of the Republic of Lithuania shall apply to this Contract and the settlement of related disputes.

VIII. VALIDITY OF THE CONTRACT, ITS AMENDMENT AND TERMINATION

24. This Contract shall come into force from the moment signing and shall remain in force until the full discharge of obligations under this Contract. The annexes make an integral part of the Contract.

25. If any provision of this Contract becomes or is deemed wholly or partially void, this shall not affect the validity of the other provisions of the Contract.

26. This Contract may be amended and/or supplemented only by a separate written agreement signed by both Parties. All supplements and amendments to this Contract shall take effect from the moment of their signing, unless the Parties agree otherwise in writing.

27. The Contract may be terminated:

27.1. by agreement between the Parties or unilaterally, according to the procedures and conditions set out in legal acts;

27.2. at the initiative of one of the Parties, if the other party fails to perform and/or improperly performs the obligations assumed under this Contract and fails remedy the breach of the Contract within the period of not less than 10 (ten) days. In such a case, the Party must make a written request for the removal of the violation. The contract is terminated if the breach of the Contract is not remedied upon expiration of the set term.

27.3. In case the Client is private person he/she has the right to cancel the Contract by notifying the Service Provider at office@lconglobal.com within14 days after the signing the Contract.

28. The Parties declare that during the negotiations and preparation of the Contract each Party could use and, if necessary, used the assistance of qualified lawyers and other professional advisers. The provisions of this Contract will be interpreted and assessed according to their true meaning, and not strictly for the benefit or disadvantage of any Party.

29. Each Party declares and warrantees to the other Party that: the Party has been properly established and legally operates in accordance with the laws of the respective country; the Party has taken all legal actions necessary for the proper drawing up and effectiveness of the Contract; the Party’s representative has all the necessary powers to enter the Contract; by entering the Contract, the Party will not violate any laws, regulations, ordinances, obligations or agreements binding upon it; this Contract is a valid, legal and binding obligation of the Party, the performance of which may be enforced under the terms of the Contract.

By accepting the terms and conditions at the registration to the WRX platform used by UAB L-CON Global, you agree with the content of this contract.

3.4. to familiarise the Participants with the conditions of this Contract (including annexes) related to the Participants’ participation in the educational process and the obligations regarding the storage and confidentiality of the information received during the provision of the Services. However, the Client has the right not to disclose the Service price to the Participant;

3.5. to behave according to the Permission and Commitment Form and provides permissions accordingly 

4. The Client has the right:

4.1. to request the Service Provider to provide the Client with the required information on the provision of the Services orally or in writing, but such information requested by the Client shall not include the information that the Service Provider has learned during the conversations with the Participants (including, but not limited to, the future plans of the Participant, business plans, personal information, etc.), and the Client is not entitled to request such information from the Service Provider;

4.2. to change the Participants indicated in the Special Part of the Contract, giving the Service Provider at least three (3) days’ notice thereof. In any event, the Client understands that in such case the Service Provider cannot guarantee the full provision of the Services and the achievement of the discussed result, if the Participant is replaced after the commencement of the Contract.

5. The Client represents and warrants that:

5.1. the Client understands that the Service Provider has invested a lot of time and money for the preparation to the provision of the Services prior to signing the Contract, therefore, if the Service Provider is prevented from providing the Services (or their respective parts) for the reasons related to the Client or the Participant (including but not limited to cases in which the Participant(s) does/do not attend) or the Contract is terminated without the fault of the Service Provider, the Client undertakes to pay to the Service Provider the full price for the Services in accordance with the rates specified in the Special Part of the Contract;

5.2. the Client agrees that the Service Provider may indicate the Client as the Service Provider’s client in the Service Provider’s activity description and/or advertising;

5.3. prior to the conclusion of the Contract, the Service Provider has provided the Client with detailed information on the nature of the Services, the terms and conditions of their provision, the price of the Services, the time limits of the Services provision, possible consequences, and other information influencing the Client’s decision to conclude the Contract, and the Client has decided to conclude the Contract after having examined all the information provided by Service Provider;

5.4. the Client understands that the Service Provider conveys knowledge, directs the Participants towards the desired result, and the development result depends primarily on the personal characteristics of the Participants, the active, continuous and appropriate application of the learned subjects in everyday activities. Therefore, no guarantees are provided under this Contract (its annexes) as to the result/success of the final improvement.

In such a case, the Service Provider shall also have the right to suspend the provision of the Services (their part) and to demand payment for all the Services (their part) provided to date, and payment of the remaining part in advance.

12. If the Service Provider fails to provide the Services in question, the Service Provider shall pay the Client interest in the amount of 0.2 (two tenths) percent of the amount paid in advance for the Services by the Client to the Service Provider, but in all cases not exceeding the amount indicated in Clause 10 of the General Part of the Contract.

13. The Party violating the requirements of the Section V of the General Part of the Contract and having disclosed or used all or part of the information in its relations with a third party, insofar as this is not related to the performance of this Contract, shall pay the other party penalty of EUR 3,000 and compensate the other Party for the amount of such damages incurred, which in all cases, if paid by the Service Provider, shall not exceed the amount specified in Clause 10 of the General Part of the Contract. The penalty must be paid within 7 (seven) calendar days from the date of the written request.

14. Premature termination of this Contract shall, in the first instance, exempt both parties from the further performance of this Contract, but shall not relieve the Parties from the obligations assumed before the termination, does not exclude the right to demand payment of arrears, indemnification for damages arising from the non-performance, termination and default of this Contract.

15. The Parties are not liable for non-performance of contractual obligations in the circumstances that cannot be foreseen, prevented or remedied by any means (force majeure). In the event of force majeure, the obligations of the Parties shall be postponed for a period not exceeding 30 (thirty) calendar days.

V. CONFIDENTIAL INFORMATION, COPYRIGHT, PERSONAL DATA PROTECTION

16. For the duration of this Contract, and any time after the expiry of this Contract or its termination, the Parties shall strictly treat as confidential any information contained in this Contract or related to it, as well as any information disclosed both deliberately and incidentally during performance of this Contract.

17. Disclosure of the information provided for in this section, its communication to a third party or making it public is possible only with the written consent of the other party, except when the information is disclosed, communicated to a third party, or made public in the cases provided for in the legal acts of the Republic of Lithuania, and only according to the procedure and to the entities provided for in the legal acts of the Republic of Lithuania, unless the relevant information has already been made available to the public before it has been disclosed to third parties. In addition, this Contract grants the Service Provider the right to use for learning purposes, as well as for research purposes, information on situation solution methods, decision-making tools, etc. provided to the Service Provider by the Client and/or the Participant, but in all cases, information shall be depersonalised.

18. The Service Provider owns and will own the copyright and all other rights to the documents and information, including, but not limited to the documents and information provided to the Client or the Participant in writing (handouts, electronically supplied materials, etc.), orally, and visually (including the provision of information during coaching sessions). The Client or the Participant may make copies of documents submitted in writing for their internal or personal use, however, the Client and the Participant may not provide documents or copies thereof to any third parties without the written consent of the Service Provider.

19. The Service Provider as the data controller and its responsible employees shall process the Participant’s personal data (first name, surname, phone number, e-mail address, notes of a coaching session, data of the taken tests, and other information provided by the Participant) for the purpose of performing this Agreement and the Contract with the Client. The legal basis for processing of personal data is Article 6(1)(b) of the General Data Protection Regulation. For the purpose of processing the Participant’s personal data, the Service Provider may engage IT companies (data processors) which will render computer software support and hardware maintenance services to it, and testing companies (data processors) the psychological tests developed by which will be offered to the Participant. The Service Provider shall store the Participant’s personal data during the term of the Agreement and for 10 years afterwards, except where the Participant requests erasure of his/her personal data in the possession of the Service Provider, and such request is in line with the legislation. The Participant hereby acknowledges that he/she has been informed of the terms of processing of his/her personal data and the following rights of the Participant: i) to access his/her personal data and to verify the manner in which they are being processed as well as to have the incorrect or inaccurate personal data concerning him or her rectified; ii) to object or withdraw his/her consent to the processing of personal data relating to him or her any time without specifying reasons for the objection or withdrawal; iii) to have the inaccurate or incomplete personal data rectified or erased, or to suspend operations of data processing except for their storage where such requests are compatible with performance of the Agreement and the legislation; iv) any other rights of a data subject stipulated in the General Data Protection Regulation and other legislation. Those rights can be exercised free of charge by contacting the Coach or the Service Provider. The Coach and the Service Provider undertakes to process the Participant’s personal data in compliance with the requirements of the legislation, to ensure security of the processed data, and to implement technical and organisational protection measures appropriate to ensure protection of personal data against unauthorised or unlawful destruction, processing, or accidental change or disclosure. 

VI. INFORMATION AND CORRESPONDENCE

20. All notices relating to this Contract (including, but not limited to, invoices) will be written to each of the Parties in English and sent by post (to the addresses indicated in the Contract), by e-mail (to the addresses indicated in the Contract) or served against signature to the representative specified in this contract or the designated agent of the representative. If the notice is sent by e-mail, it is considered received by the Party on the same day, if it was sent by the party during the working hours, or on the next business day, if it was sent outside of working hours. If the notice is sent by post, it is considered received by the recipient 5 (five) calendar days from the date of dispatch.

21. If one of the Parties changes its requisite data, the other Party must be informed about it within 5 (five) calendar days from the date of the change. The Party that fails to provide notice of such change in details in due time may not claim that it has not received communications, if the other party sent notices to the last known address or using other last known details of that party.

VII. DISPUTE RESOLUTION, JURISDICTION, GOVERNING LAW

22. The Parties shall endeavour to resolve all disputes, disagreements, claims and controversies that may arise between the Parties regarding the application and interpretation of the Agreement through negotiation, mutual agreement and cooperation. If disagreements cannot be resolved through negotiations within 15 (fifteen) calendar days, all disputes, disagreements, claims and controversies arising from the application and interpretation of this Agreement shall be settled in accordance with the legal acts of the Republic of Lithuania in the Vilnius City District Court or the Vilnius Regional Court (depending on the amount of the claim).

23. The law of the Republic of Lithuania shall apply to this Contract and the settlement of related disputes.

VIII. VALIDITY OF THE CONTRACT, ITS AMENDMENT AND TERMINATION

24. This Contract shall come into force from the moment signing and shall remain in force until the full discharge of obligations under this Contract. The annexes make an integral part of the Contract.

25. If any provision of this Contract becomes or is deemed wholly or partially void, this shall not affect the validity of the other provisions of the Contract.

26. This Contract may be amended and/or supplemented only by a separate written agreement signed by both Parties. All supplements and amendments to this Contract shall take effect from the moment of their signing, unless the Parties agree otherwise in writing.

27. The Contract may be terminated:

27.1. by agreement between the Parties or unilaterally, according to the procedures and conditions set out in legal acts;

27.2. at the initiative of one of the Parties, if the other party fails to perform and/or improperly performs the obligations assumed under this Contract and fails remedy the breach of the Contract within the period of not less than 10 (ten) days. In such a case, the Party must make a written request for the removal of the violation. The contract is terminated if the breach of the Contract is not remedied upon expiration of the set term.

27.3. In case the Client is private person he/she has the right to cancel the Contract by notifying the Service Provider at office@lconglobal.com within14 days after the signing the Contract.

28. The Parties declare that during the negotiations and preparation of the Contract each Party could use and, if necessary, used the assistance of qualified lawyers and other professional advisers. The provisions of this Contract will be interpreted and assessed according to their true meaning, and not strictly for the benefit or disadvantage of any Party.

29. Each Party declares and warrantees to the other Party that: the Party has been properly established and legally operates in accordance with the laws of the respective country; the Party has taken all legal actions necessary for the proper drawing up and effectiveness of the Contract; the Party’s representative has all the necessary powers to enter the Contract; by entering the Contract, the Party will not violate any laws, regulations, ordinances, obligations or agreements binding upon it; this Contract is a valid, legal and binding obligation of the Party, the performance of which may be enforced under the terms of the Contract.
